Definitions
"AudioRec", "we", "us", "our" refers to Audio Recording Monitoring System (Pty) Ltd.
"User", "Client", "Customer", "you", "your" refers to any person or entity accessing or using the AudioRec platform, services, website, systems, or content.
"Services" refers to all training, monitoring, quality assurance, audio recording, reporting, analytics, software, platforms, and related services provided by AudioRec.
Acceptance of Terms
By accessing or using the AudioRec website, platform, systems, software, or services, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the services.
Scope of Services
AudioRec provides:
- Customer service training solutions
- Audio recording and monitoring systems
- Quality assurance and compliance monitoring
- Performance reporting and analytics
- Digital platforms and training tools
- Support services related to monitoring and training operations
The scope of services is defined in individual service agreements, proposals, or contracts entered into between AudioRec and the Client.
User Responsibilities
Users and Clients agree to:
- Use the system lawfully and ethically
- Comply with all applicable South African laws and regulations
- Ensure consent is obtained for audio recording where legally required
- Not misuse, manipulate, or interfere with the system
- Maintain confidentiality of login credentials
- Ensure internal policies align with legal and regulatory requirements
Data Protection and Privacy
AudioRec is committed to protecting personal information in accordance with the Protection of Personal Information Act (POPIA).
- AudioRec processes data lawfully, transparently, and securely
- Users are responsible for ensuring lawful data collection
- AudioRec acts as a data operator where applicable
- Audio recordings and monitoring data remain the responsibility of the Client
- Data handling is governed by AudioRec's Privacy Policy
Recording and Monitoring Compliance
Clients are solely responsible for:
- Legal compliance with RICA, POPIA, CPA, and labour laws
- Informing staff and customers of audio recording
- Obtaining required consents
- Implementing lawful workplace monitoring policies
AudioRec provides the technology platform and does not assume responsibility for unlawful use by Clients.
Intellectual Property
All intellectual property, including software, systems, training materials, content, branding, trademarks, and methodologies, remain the exclusive property of AudioRec unless otherwise agreed in writing.
No content may be copied, reproduced, distributed, or modified without written permission.
System Access and Availability
AudioRec makes reasonable efforts to ensure system availability but does not guarantee uninterrupted access.
AudioRec is not liable for:
- Downtime
- Maintenance interruptions
- Third-party system failures
- Internet connectivity issues
- Force majeure events
Fees and Payment
Fees are determined by service agreements or proposals.
All fees are:
- Quoted in South African Rand (ZAR) unless otherwise stated
- Payable in accordance with agreed terms
Late payments may result in suspension of services.
Limitation of Liability
To the maximum extent permitted by law, AudioRec shall not be liable for:
- Indirect or consequential damages
- Loss of profits, revenue, data, or business
- System misuse by Clients
- Legal non-compliance by Clients
- Third-party actions
Total liability shall not exceed the value of fees paid to AudioRec in the preceding 12 months.
Indemnification
Clients indemnify AudioRec against any claims, damages, losses, penalties, or legal costs arising from:
- Unlawful recording or monitoring
- Data protection breaches
- Labour disputes
- Regulatory non-compliance
- Misuse of the platform
Termination
AudioRec may suspend or terminate access if:
- These Terms are breached
- Payment obligations are not met
- Unlawful activities are detected
- Regulatory risks arise
Clients may terminate services in accordance with their service agreement.
Amendments
AudioRec reserves the right to update these Terms and Conditions at any time. Updates will be effective upon publication on the website.
Governing Law and JurisdictionThese Terms and Conditions are governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of South African courts.
Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement
These Terms and Conditions, together with any service agreements, proposals, and policies, constitute the entire agreement between AudioRec and the Client.
